The resource will assist in piloting the contractual requirements of customer requests versus vendor agreements in order to ensure compliance under a vendor management process (One Door process). Bell’s vendor management process is focused on identifying commercial related risks to the appropriate stakeholders and collaborating with such stakeholders to ensure successful project delivery while minimizing exposures to Bell.
As part of Bell’s One Door process, the resource will perform deviation assessments of customer requests for aspects related to vendors and will ensure the proper flow down of non-standard clauses under the applicable vendor agreements. In addition, the resource will also be required to advise and negotiate on changes with relevant stakeholders to various contracts, such as IT sourcing agreements, Statements of Work (SoW), or marketing and incentive programs.
Responsibilities:
Prepare a risk assessment of customer contracts, including risk mitigation actions to be taken for non-standard clauses;
Review the vendor agreement(s) to ensure that the customer requirements are covered;
Review existing customer contract to ensure alignment
Collaborate with Procurement to develop a vendor agreement to flow down non-standard clauses with vendor(s);
Advise on changes to various contracts with appropriate stakeholders;
Document all risks and approvals;
RFP Review (40%)
Review incoming One Door requests as assigned by the team coordinator from both a legal and business law standpoint, comparing customer required terms against any existing third party agreements in place
Determine risk exposure to Bell, highlighting gaps between these terms in a risk assessment
Engaging with subject matter expert stakeholders to determine applicability of identified terms to third party deliverables
Stakeholder Management (10%)
Manage expectations of stakeholders engaged in the One Door Process. Includes sales, proposal management, legal, architecture, governance, procurement, product, senior management and others.
Supplier Negotiation (40%)
Work with sales, legal, procurement and product stakeholders to negotiate identified terms directly with the third party supplier to minimize risk to Bell through the use of a Customer Opportunity Agreement (COA)
Work with Strategic Pricing, legal and senior management to determine appropriate contingencies where alternative mitigation is required.
Lead discussions to develop language proposals with internal and external stakeholders to ensure back to back coverage with customer requirements.
Regular follow-up with respect to stakeholder action items and escalation to senior members where required to ensure completion of action items according to the workback plan.
Acting as the business law subject matter expert and point of contact for Bell on a project basis relating to contractual inputs required, setting meetings and calls
Governance Management (10%)
Work with Bell corporate teams (Legal, Insurance, Audit, Finance…) to assess and challenge the deal risks as well as determine impacts. Facilitate establishing options to mitigate deal risks as they pertain to Sarbanes Oxley (SOx) requirements.
Adherence to Bell’s internal governance controls and processes (audited monthly for compliancy)
Filing, archiving and tracking of supplier responses and Bell risk mitigations
Knowledge:
Be a graduate in business law
Minimum of 5 years’ experience in contract management in multidisciplinary projects in IT procurement
Familiar with Software suppliers requirement i.e. EULA, ELA, SAAs and Cloud contract
Advances knowledge of telecommunication networks in telephony, data transmission and
Network management tools
Good contractual knowledge of IT and procurement
Demonstrate leadership
Strong written and verbal communication skills
Advanced Microsoft Word skills and working knowledge of Adobe Acrobat, Excel, PowerPoint
Proven ability to manage workload and multi-task under very tight deadlines
Exceptional attention to detail
Willingness to challenge established opinions to improve or protect Bell’s interests
Proven aptitude for teamwork in a virtual setting
Strong interpersonal skills and ability to interact with all levels of an organization
Strong sense of accountability for work rendered
Independent work ethic needing little guidance
