The opportunity

 

We are looking for a legal counsel to join the Transactions team in the General Counsel’s Office for the Oceania region.  This in-house legal role involves advising on a range of matters to support EY’s transactions and regulatory portfolio. This role is offered as a permanent full time role and can be based in any of our EY Offices across Australia.

 

Your key responsibilities

 

  • Partner with our business and engage with key stakeholders on Firm acquisitions. The role involves drafting and negotiating confidentiality agreements, non-binding indicative offers/term sheets, leading due diligence, drafting and negotiating sale agreements, and managing the completion and integration process.                       
  • Advise on matters relating to Firm governance and structure, legal aspects of the Firm’s banking facilities, as well as general corporate advisory work including in relation to capital markets.

  • Collaborate with our colleagues locally and around the world on complex cross-border transactions and structuring, Firm governance and other transactional projects.

  • Advise and assist on a range of regulatory matters.

 

Skills and attributes for success

 

To qualify for the role you must have

 

  • 4-6 years post admission experience ideally gained in a top or leading mid-tier firm and/or in-house experience.
  • Proven expertise in advising clients on M&A and corporate advisory/governance matters. Experience in banking and finance will be highly regarded. 
  • Ability to provide strategic legal advice to stakeholders in the Firm.
  • Strong communication, prioritisation and stakeholder management skills.
  • Ability to work autonomously and to escalate when required.
  • High level of engagement, enthusiasm and confidence to navigate complex legal issues.
  • Curiosity, commitment to continuous learning and pragmatic approach to solving problems.
  • A passion and drive to make a valuable contribution as part of a team.
  • A legal practicing certificate for an Australian jurisdiction.
