Description of business unit
The Group Secretary's Office is responsible for enabling and supporting the effective and efficient governance of the Group, through the Board of Directors, Board Committees, management committees and Subsidiary Boards.
Purpose of the Role
The Assistant Company Secretary will work closely with the Head of Board & Executive Risk Governance to provide the highest standards of corporate governance in the provision of secretariat services and governance advice to Board and Executive level committees.
Key Accountabilities
- Act as Secretary of key board committees; plan, coordinate and attend Committee meetings, including agreeing work programmes and agendas, scheduling items for consideration in accordance with the Group's strategic priorities, organising clear and appropriate papers and preparing detailed fit for purpose minutes;
- Lead schedules of agenda items and action logs in respect of these committees, ensuring agenda items are appropriate for discussion at the relevant fora, following up to ensure that all decisions are implemented and that governance requirements are met;
- Manage the annual efficiency evaluation process for these committees;
- Support the Head of Board & Executive Risk Governance in further improving the governance structure and its operations, as the need arises, working with key partners and driving improvements proactively;
- Ensure effective information flows within committees and between the Group Executive Senior Management and the Non-Executive Directors;
- Engage closely with the GSO Leadership Team, ensuring there is continuous support available across all work streams and that all teams are aligned in terms of approach and execution of tasks;
- Deputise for Head of Board & Executive Risk Governance
- Provide support as the need arises across the wider Group Secretary's Team in fulfilling the broader accountabilities of the Office.
